MASTER SUBSCRIPTION AGREEMENT FOR EASY-LASER PLUS
Master Subscription Agreement (“Agreement”) is entered into by and between:
Customer – the company or individual identified in the online registration form (“Customer”), and
Easy-Laser AB (“Easy-Laser”, “we”, “us”, or “our”), a Swedish limited company (Reg. No. 556474-3705), with its registered office at Alfagatan 6, 431 22 Mölndal, Sweden.
By creating an account and accessing or using the Service, the Customer agrees to be bound by this Agreement. If the Customer does not agree, they may not access or use the Service.
For purposes of this Agreement:
“Service” means Easy-Laser PLUS, the cloud-based software and associated services provided by Easy-Laser.
"Subscription Manager" means the individual designated by the Customer to manage the subscription payment data. The Subscription Manager is also automatically an Administrator.
“Administrator” means the individual designated by the Customer to manage user accounts. There can be more than one administrator.
“Customer Data” means all data, information, and materials uploaded, stored, or processed by the Customer or its users through the Service.
“Subscription Term” means the initial period specified in the account registration and any renewal periods.
Customer shall provide accurate, complete, and up-to-date registration information.
Customer shall designate a Subscription Manager who shall be responsible for the fulfillment of the subscription payment.
Customer shall designate at least one Administrator who shall be responsible for user management and account security.
Customer is solely responsible for all use of the Service through its account, including actions by Subscription Manager, Administrators, Users, or third parties who gain access through Customer’s acts or omissions.
Customer shall implement reasonable measures to prevent unauthorized access.
Customer Data remains the property of Customer. Easy-Laser shall process Customer Data in accordance with applicable laws and its Privacy Policy.
New accounts include a thirty (30) day free trial period. No payment information is needed for the free trial period.
After the trial, Customer may subscribe for an annual term (365 days), by completing the account with payment information.
Subscriptions automatically renew unless terminated at least thirty (30) days prior to the renewal date.
Customer shall maintain valid payment information. Failure to pay shall be grounds for suspension or termination.
Easy-Laser may change subscription fees or options with thirty (30) days’ prior notice. Current fees are available at www.easylaser.com.
Subject to the terms of this Agreement, Easy-Laser grants Customer a non-exclusive, non-transferable right to access and use the Service during the Subscription Term solely for internal business purposes.
Customer shall not copy, modify, distribute, sublicense, or create derivative works from the Service or related materials.
Easy-Laser do not provide support for the service, but feedback on the service is managed.
The Service may be temporarily unavailable for maintenance or technical issues. Reasonable notice will be provided for scheduled maintenance.
Customer shall use the Service in compliance with applicable laws and this Agreement.
Customer may only use the Service for storing, managing, analyzing, and sharing measurement data.
Prohibited activities include:
Customer shall comply with all applicable data protection and export laws and indemnify Easy-Laser for any breaches.
Each party shall maintain the confidentiality of the other party’s confidential information.
Confidential information shall not be disclosed except to employees or contractors who need access and are bound by confidentiality obligations.
Confidentiality obligations survive termination of this Agreement for three (3) years.
Easy-Laser shall process personal data in accordance with GDPR and its Privacy Policy.
Easy-Laser acts as data processor for Customer Data and as data controller for account information and communications.
Customer Data may be exported by Customer at any time.
Processing purposes include provision and improvement of the Service, monitoring compliance, and analyzing aggregated, anonymized data.
Customer Data will be stored via Microsoft Azure.
The Service is provided “as is” and “as available”, without warranties of any kind.
Easy-Laser disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Easy-Laser shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, business interruption, data loss, or loss of business opportunities.
Easy-Laser’s total liability shall not exceed the subscription fees paid for the relevant period.
Customer shall indemnify and hold harmless Easy-Laser, its affiliates, officers, and employees from claims, damages, liabilities, costs, or expenses arising from:
This Agreement begins upon acceptance and continues for the initial Subscription Term, automatically renewing unless terminated in at least thirty (30) days prior to renewal.
Termination is done by the subscription manager in the PLUS portal on the Organization properties page.
Easy-Laser may terminate for material breach not cured within thirty (30) days of written notice.
Easy-Laser may terminate immediately if Customer becomes insolvent.
Customer may terminate the subscription for convenience at any time, provided it is terminated at least thirty (30) days prior to the date of automatic renewal.
Customer retains access until the end of the paid subscription period.
No refund shall be due for any unused portion of the subscription unless otherwise specified.
Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including pandemics, labor disputes, governmental actions, or telecommunications failures.
This Agreement shall be governed by and construed in accordance with Swedish law.
All disputes shall be finally resolved by arbitration administered by the Stockholm Chamber of Commerce (SCC).
Unless SCC decides otherwise, the Rules for Expedited Arbitration shall apply.
SCC shall determine whether the tribunal consists of one or three arbitrators.
The seat of arbitration shall be Gothenburg, Sweden, and proceedings shall be conducted in English.
Entire Agreement: This Agreement, together with the Privacy Policy and Data Processing Agreement, constitutes the entire agreement between the parties regarding the Service.
Severability: If any provision is held invalid, the remainder shall remain in effect.
Assignment: Customer may not assign without Easy-Laser’s consent; Easy-Laser may assign to affiliates or purchasers of its business.
Notices: All notices shall be in English and delivered in writing.
